Terms of Service — trueniti

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the trueniti website and platform provided by Pavidha Technologies ("trueniti", "we", "us"). By accessing the site, requesting a demo, or using the platform, you agree to these Terms. If you accept on behalf of an institution, you confirm you are authorised to bind that institution. 2. Definitions

Platform — the trueniti software, applications and related services.
Customer — the institution that subscribes to the Platform.
Customer Data — data the Customer and its users submit to the Platform.
Users — individuals authorised by the Customer to use the Platform.

3. Accounts & eligibility

You must provide accurate information and keep credentials secure. You are responsible for activity under your account and for your Users' compliance with these Terms. The Platform is intended for institutional use; children use it only under the supervision and authority of their institution.

4. Acceptable use

You agree not to misuse the Platform. In particular, you will not:

break the law or infringe others' rights, or upload unlawful or harmful content;
attempt to breach security, access another tenant's data, or probe, scan or test the vulnerability of the service without authorisation;
reverse engineer, resell or provide the service to third parties except as permitted;
interfere with or disrupt the integrity or performance of the service;
use the service to build a competing product, or to train a competing machine-learning model.

5. Customer data & ownership

As between the parties, the Customer owns its Customer Data. The Customer grants us the limited rights needed to provide the service. We process Customer Data as a processor, on the Customer's instructions, under our Privacy Policy and data-processing agreement. We never sell Customer Data and never use it to train AI models.

6. Plans, fees & billing

Paid plans are billed per the order or plan you select; you pay only for the modules your tier includes. Unless stated otherwise, fees are exclusive of taxes. 7. Trials & free plan

We may offer a free plan or trial. Trials are provided "as is" and may change or end. We may set reasonable limits on trial usage.

8. Intellectual property

The Platform, and all software, design, and trademarks (including the trueniti name and logo), are owned by Pavidha Technologies or its licensors. Except for the rights expressly granted, no rights are transferred.

9. Third-party services

The Platform may integrate with third-party services chosen by the Customer. We are not responsible for third-party services, which are governed by their own terms.

10. Warranties & disclaimers

We provide the service with reasonable skill and care. Except as expressly stated, and to the extent permitted by law, the service is provided "as is" without other warranties. We do not warrant that the service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential losses, and each party's aggregate liability is limited as set out in the order or plan: [FOUNDER: confirm liability cap]. Nothing limits liability that cannot be limited by law.

12. Indemnity

Each party will defend the other against third-party claims to the extent caused by its breach of these Terms or its unlawful use of the service, subject to prompt notice and reasonable cooperation.

13. Term & termination

These Terms apply while you use the service. Either party may terminate for material breach not cured within a reasonable period. On termination, access ends and Customer Data is returned or deleted as agreed. We may suspend access where necessary to protect the service or comply with law.

14. Governing law & disputes

These Terms are governed by the laws of, and disputes are subject to the courts of, the jurisdiction set out on our Company details page: [FOUNDER: confirm governing law & venue].

15. Changes to these Terms

We may update these Terms; material changes take effect on the date posted here or as otherwise notified. Continued use means you accept the updated Terms.
